General Meeting

The General Meeting is the sovereign body of the Company. Duly convened and constituted, it will decide the matters within its jurisdiction.

The Government Board of the city of Madrid[16]​ will assume the functions and powers of the General Board.

The Presidency of the General Meeting will be exercised by whoever holds the position of the Mayor and the Presidency of the Governing Board of the city of Madrid, and the Secretary, for its part, will be held by the councilor secretary of the Governing Board, or those who replace them in accordance with the provisions established for the operation of the Governing Board of the City of Madrid.

Persons from the Board of Directors, Management and other technical personnel determined at the proposal of the Presidency or the Board of Directors may attend the General Meeting with voice but without vote.

Board of Directors

The Board of Directors is the administration, direction, management and representation body of the Company. It is made up of a maximum of nine and a minimum of three members appointed and dismissed by the General Meeting.

The members of the Board of Directors will carry out their duties with the diligence of an orderly businessman and a loyal representative, being subject to the duties of fidelity, loyalty and secrecy regulated in the legal provisions, being liable for any damages caused by acts or omissions contrary to the law, these Statutes or for failure to comply with the duties inherent to the position.

This liability will be joint and several in cases of harmful agreements taken by the Board of Directors, unless there is proof of non-participation in the same as stated in the Public Limited Companies Law.[17]​.

CEO

The Board of Directors may appoint among its members one or more CEOs, to whom they will delegate all or some of their powers.

In the case of appointing several, the delegation agreement must indicate the regime under which they have been appointed, jointly or severally.

Manager

The management of the Company will be exercised by a person designated by the Board of Directors and will have the right to attend Board meetings, with voice but without vote, and will have the powers conferred in each case by the Board of Directors.

In 2015, with the arrival of Ahora Madrid to the Madrid City Council, under the mayorship of Manuela Carmena, the Municipal Housing and Land Company (EMVS) substantially modified its management policy. From then on, the sale of public housing was abandoned and it was decided to use it exclusively for rent.

The objective of this measure was to stop the loss of the reduced public park inherited from previous municipal governments—composed of approximately 6,000 properties—and to expand this heritage. To achieve this, various strategies were promoted: the acquisition of empty homes, the intermediation of rentals between individuals and the promotion of new construction.[18]​.

New Construction Plan

As of December 31, 2017, the public housing stock, owned by the EMVS, amounts to 6,061 homes, well below the amounts managed in other European cities.

Within this framework, the City Council has a Plan underway whose objective is the construction of 4,200 homes, which will be developed on public land that is owned by EMVS, and a large majority on municipal land that has been transferred free of charge by the City Council to the EMVS for this purpose.

These are plots located in different districts of the municipality, in order to ensure the balance of the territory, but always within the limitations of current availability of land intended for residential use.

Rehabilitation

Throughout the history of the EMVS, the rehabilitation of homes,[19]​ buildings and neighborhoods has been and is a priority, both for its important social and economic effects and for its contribution to the improvement of heritage, the urban landscape and the quality of life of citizens.

The MAD-RE Plan[20]​ contemplates aid that benefits the entire city in terms of accessibility and focuses on 120 areas, determined by the City Council as Preferred Areas to Promote Urban Regeneration (APIRU), to encourage actions in terms of conservation, accessibility and energy efficiency.

This Plan[21]​ is a financial aid program for the rehabilitation of residential buildings in areas declared Areas of Rehabilitation, Regeneration and Urban Renewal (ARRU)..

On May 30, 2018, the Mayor of the Madrid City Council and the representatives of the Ministry of Public Works and the Community of Madrid formalized the addendums to the Bilateral Commission Agreements related to the ARRU of Manoteras, Moratalaz, San Nicolás Arechavaleta and Ciudad de los Ángeles, and Calle Toledo, Conde Duque and Lavapiés that make possible the extension of the deadline for the execution of actions until December 31 of 2019.

Rent Madrid Program (ALMA)

The Madrid City Council manages the rental of privately owned homes at an affordable price through the Rent Madrid Program (ALMA).[22]​.

The program is configured as a comprehensive free municipal service that deals with the management of rentals between individuals.

In 2012, the Madrid City Council, led by Mayor Ana Botella, managed, through the EMVS, the sale of five buildings in the center of Madrid and of great historical-artistic value, whose restoration had deserved the 1988 National Urban Planning Award, and whose sale would entail the eviction of its tenants, many of them elderly and with few means.[23]​ In 2015, shortly after assuming the position of Mayor, Manuela Carmena, announced the stoppage of evictions from these properties.[24]​.

On the other hand, in 2016 the Chamber of Accounts of the Community of Madrid detected an "economic failure" and other irregularities in the sale of 1,860 municipal homes to investment funds of the Blackstone Group,[25]​.

Its report "shows that the decision to sell the 18 developments had been made, at least, between December 2012 and April 2013, but without the decision being accompanied, up to this date at least, by reports justifying the technical or economic necessity of the sale",[26]​ that is, that they were sold "without the existence of specifications for the sale".[27]​.

For all these reasons, in November 2017, the Madrid City Council announced the filing of a lawsuit before the Court of Accounts "Tribunal de Cuentas (Spain)") against the previous municipal government of Ana Botella and the then counselor of the EMVS, Fermín Oslé, for the sale of protected apartments in an operation formalized in October 2013.[28] According to the complainant, said operation involved the sale of 18 complete housing developments. protected (with a total of 5,315 properties) for a global price of euros.[28]​.

On December 27, 2018, the Court of Accounts "Tribunal de Cuentas (Spain)" condemns Fermín Oslé"), Ana Botella and the rest of the councilors who were part of the EMVS Board at that time, to pay 25.7 million euros, considering that the sale was made below its market price, incurring "serious negligence" because "they did not prevent damage to public assets."[29]​.

Subsequently, the Court of Accounts "Tribunal de Cuentas (Spain)") revoked said conviction, acquitting the defendants, which led to the filing of an appeal before the Supreme Court "Supreme Court (Spain)"), where all the defendants were definitively acquitted, including Fermín Oslé and the mayor Ana Botella.[30]​.
