In rail operations, Downer Rail provides comprehensive maintenance for rolling stock fleets, signalling, and track infrastructure, drawing on over 155 years of experience to ensure operational efficiency and safety.[28] The company holds significant contracts in Australia, including maintenance support for Sydney Trains' passenger fleet and infrastructure, contributing to the reliability of one of the nation's busiest networks.[31] In New Zealand, Downer focuses on rail infrastructure projects, such as track construction and upgrades for KiwiRail, enhancing connectivity across the country's rail corridors.[32] These services extend to whole-of-life asset management, where Downer optimizes performance through predictive maintenance and upgrades for both heavy rail and transit systems.[33]
Bus and light rail services were previously managed through the Keolis Downer joint venture, which operated major networks including Yarra Trams in Melbourne, G:link light rail on the Gold Coast, and bus fleets in Western Australia, South Australia, and New South Wales, such as the integrated multi-modal system in Newcastle.[34] However, in July 2025, Downer divested its 49% stake in the joint venture to Keolis for A$132 million, with the transaction expected to complete by late 2025 or early 2026, subject to regulatory approvals, allowing Keolis to assume full control of these public transport operations.[26][35] This shift refocuses Downer's bus-related expertise on maintenance and infrastructure support rather than direct operations.[36]

In energy services, Downer provides maintenance for power generation assets, including oil, gas, and industrial facilities, while advancing renewable projects and grid upgrades to enhance capacity and resilience. For instance, the company constructs transmission lines and substations, having delivered over 2,750 km of lines and more than 70 substations in the past decade to support renewable integration. A key example is the 2025 construction of a 275kV greenfield switching station at Roopena in South Australia, which strengthens the grid for future energy demands. Notable initiatives include supporting the Moomba Carbon Capture and Storage facility, capable of storing 1.7 million tonnes of CO2 annually, and promoting energy-efficient upgrades like LED lighting to enhance grid sustainability. Mining and resources
Downer Group's mining and resources activities, as of 2025, center on providing specialized maintenance, shutdown, and outage services for mining infrastructure, alongside mineral processing solutions through its subsidiary Mineral Technologies.[57][1] Following divestitures of its direct contract mining operations—including open-cut and underground divisions—completed by 2021, the company has shifted focus to supporting resource extraction through asset management and processing technologies.[1]
The division delivers maintenance services for fixed plant equipment in mining operations, including crushers, conveyors, and rail car dumpers, with long-term partnerships such as over 50 years of collaboration with BHP.[57] These services encompass shutdowns, turnarounds, and outage management to ensure operational reliability in the resources sector, integrated within the broader Energy & Utilities segment.[1] Haulage support is provided through optimized asset management and equipment maintenance, utilizing technologies like Mineware Argus for road design and truck productivity enhancement, though direct haulage operations have been divested.[58]
Mineral processing is handled primarily by Mineral Technologies, a key subsidiary offering fine physical separation solutions with over 80 years of expertise.[59] This includes gravity concentration using spiral concentrators and flotation technologies to recover valuable minerals from complex ores.[60] The subsidiary designs and manufactures processing equipment, such as modular plants and mobile mining units, to support beneficiation processes. Key focus areas encompass coal, iron ore, and critical minerals like lithium and rare earths, serving clients in industrial mining hubs.[61] Operations span Australia, Asia, and global locations including South Africa, India, Brazil, and the United States.[62][1]
Subsidiaries integral to these activities include Mineral Technologies Pty Ltd and related entities like MD Mineral Technologies Africa (Pty) Ltd, which provide engineering, procurement, and construction support for mineral process equipment.[1] Downer has divested non-core mining-related units, such as QCC Resources in 2020 and VEC Civil Engineering in 2023, to streamline its portfolio.[1][5]

Facilities management
Downer Group's facilities management division delivers integrated services for maintaining and operating non-residential buildings and estates across Australia and New Zealand, emphasizing efficiency, safety, and sustainability in sectors such as defence, health, education, and government.[1] Acquired in 2017, Spotless Group Holdings forms the core of this division, providing end-to-end outsourced solutions that support community infrastructure and asset lifecycle management.[1] Following divestitures in 2025 of non-core operations including Australian and New Zealand cleaning businesses, New Zealand catering, and laundries, the division has refocused on hard facilities management—such as building maintenance and infrastructure support—and select soft services like security and grounds management.[1] These services include asset help desks, operational support, and consulting for complex estates, enabling clients to optimize workplace efficiency and employee wellbeing.[1]
Key clients span government agencies, defence organizations, and commercial entities, with major contracts underscoring the division's role in critical infrastructure. For instance, Spotless Facility Services maintains estates for the Australian Department of Defence, including sites like Lavarack Barracks, under long-term agreements that ensure reliable frontline operations.[63] Other notable clients include the Department of Home Affairs, Homes NSW, and healthcare providers serving approximately 500,000 patients annually across Australia and New Zealand.[1] In September 2025, Downer secured an initial six-year contract valued at $3.05 billion to deliver base and estate services to the Australian Department of Defence, with options for two extensions of one to three years each, highlighting the division's expertise in secure, high-stakes environments.[64][65]
The facilities management division integrates closely with Downer's broader operations, particularly in transport, utilities, and energy, to provide holistic asset lifecycle management from design through maintenance and renewal.[1] This synergy allows for shared capabilities in project delivery and risk management, aligning facilities services with group-wide decarbonization goals. Spotless operates as a wholly owned subsidiary, with entities like Spotless Facility Services Pty Ltd and Spotless Services Australia Limited driving delivery under ISO 9001 for quality, ISO 14001 for environmental management, and ISO 45001 for occupational health and safety.[1][63]
Sustainability is embedded in facilities operations through a Zero Harm philosophy and initiatives targeting environmental and social impacts. The division promotes sustainable building practices, including energy-efficient LED upgrades, circular economy efforts that reused 779 tonnes of surplus materials in FY25, and decarbonization consulting to reduce clients' carbon footprints.[63] Health and safety metrics improved to a Lost Time Injury Frequency Rate of 0.83 and Total Recordable Injury Frequency Rate of 2.04, supported by the FY25-27 Health and Safety Strategic Plan, while zero significant environmental incidents were recorded.[63] These efforts align with Downer's broader ESG commitments, fostering resilient and low-impact facility operations.[66]
