Certificate of Contributions
Introduction
The cooperative social capital is the sum of the contributions of the members that is divided into social quotas. In Cooperatives, although Capital is not essential for their conception and identity, it is undoubtedly necessary for the effective and efficient performance of their activities with a view to satisfying the needs of their members. Its characteristics are being unlimited, variable, unique and intangible. These social quotas that constitute the capital are represented by certificates or shares with the name of the corresponding associate (they are nominative).
Difference between subscribed capital and integrated capital
The subscribed capital is the entire capital that the members agree to integrate, and that law 20,337 in its article 25, establishes that at least 5% of its total must be integrated at the time of subscription and the balance must be integrated within a period of no more than five years to complete the integration of the contributions.
We must keep in mind that within these limits the cooperative is free to establish all possible variants in the statute.
Contributions can be both monetary and non-monetary, but they have different treatment and consequences depending on whether they are made at the time of constitution or after it. Thus, the integrated capital is the sum of the capital contributions actually made or paid by the associate.
Difference between capital and equity
Social capital and equity are different concepts. The only time they coincide is at the moment of the constitution of the cooperative. Then, the Share Capital is modified as associates enter or leave, there are new social contributions, reimbursement for associates or capital reduction... The equity, on the other hand, will be modified depending on whether the results of the financial years are favorable or unfavorable.
The economic status of the cooperative is reflected in the relationship between the value of capital and equity. The greater the value of equity in relation to the social capital, the more solid the situation of the cooperative will be.[1][2].
